ACCEPTANCE OF THE TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY.   By using the pages on this site, you signify your agreement to these Terms and Conditions. If you do not agree to these terms of use, please do not use the Scott Foundation site. We reserve the right, at our discretion, to change, modify, add, or remove portions of these terms at any time. Please check these terms periodically for changes. Your continued use of these sites following the posting of changes to these terms will mean you accept those changes.  These terms and conditions apply to the website, relationship between Scott Foundation, its affiliates and organizations listed in the Memorandum of Understanding.  All references to the Agreement herein shall be deemed to include the Memorandum of Understanding and these Terms and Conditions, including Exhibit A.

Under the Terms and Conditions, “we”, “us,” and “our” denote Scott Foundation.  “You” and “your” refer to the organization listed in the Memorandum of Understanding.

RESTRICTIONS ON USE OF MATERIALS
Unless otherwise noted, all materials, including images, illustrations, designs, icons, photographs, video clips, and written and other materials contained on Scott Foundation’s site (collectively, the "Contents") are protected by copyrights, trademarks, trade dress, and/or other intellectual properties owned or controlled by Scott Foundation.

For purposes of these terms, the use of any such material on any other Web site or computer environment is prohibited. No right, title, or interest in any downloaded Contents or software is transferred to you as a result of any such downloading or copying. You may not reproduce (except as noted above), publish, transmit, distribute, display, modify, create derivative works from, sell or participate in any sale of, or exploit in any way, in whole or in part, any of the Contents, the site, or any related software. You may not attempt to decompile or reverse engineer any of the software used by Scott Foundation as part of the web sites.

For permission to use content from this website or from a newsletter authored and distributed by the Scott Foundation, request written permission and provide full attribution. These Terms and Conditions will be governed and be interpreted pursuant to the laws of the State of Arizona, United States of America, excluding its conflicts of law rules. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms and Conditions or your use of this site shall be filed only in the federal courts located in Arizona. If any part of these Terms and Conditions is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of any remaining provisions. Possible evidence of use of this site for illegal purposes will be provided to law enforcement authorities. This is the entire agreement between the parties relating to the use of this site.

Scott Foundation can revise these Terms and Conditions at any time by updating this posting.

TERMINATION
These terms are effective until terminated by either party. You may terminate these terms at any time by discontinuing use of all Scott Foundation sites and destroying all Contents obtained from any and all such sites and all related documentation and all copies and installations thereof, whether made under these terms or otherwise. Your access to any and all Scott Foundation sites may be terminated immediately without notice from us if in our sole discretion you fail to comply with any term or provision of these terms. Upon termination, you must cease use of the Scott Foundation site and destroy all Contents obtained from such site and all copies thereof, whether made under these terms or otherwise.
